Loans Against SKRs and Safekeeping Receipts

Safekeeping receipts can support secured financing when they represent genuine, independently verifiable assets held under an acceptable custody arrangement. The lender finances the underlying collateral, not the receipt by itself.

What Is an SKR?

SKR commonly means Safekeeping Receipt. It is a document issued by a custodian, warehouse, vault operator, bank, or specialist storage company confirming that it holds a specified asset for a named depositor or beneficial owner.

Depending on the transaction, the safeguarded property may consist of precious metals, agricultural commodities, base metals, gemstones, artwork, marketable securities, or other valuable inventory. The SKR usually identifies the asset, quantity, storage location, depositor, custodian, and relevant serial numbers or certificates.

An SKR is not automatically a negotiable instrument, bank guarantee, letter of credit, or payment obligation. It confirms custody under the terms stated by its issuer. Its usefulness in a financing transaction depends on the underlying asset and the legal rights attached to it.

1

Evidence of custody

The receipt identifies assets that a custodian claims to hold at a specified storage location.

2

Collateral identification

The document helps connect the proposed financing to identifiable property with an independently determinable value.

3

Control arrangement

The custodian may acknowledge the lender’s security interest and restrict withdrawals while the facility remains outstanding.

How Does a Loan Against an SKR Work?

A loan against an SKR is an asset-backed credit facility secured by the property represented by the receipt. It operates on the same central principle as other forms of asset-based lending: the lender advances capital against eligible collateral and obtains enforceable remedies if the borrower defaults.

The SKR assists with identifying and controlling the collateral. It does not replace ownership verification, valuation, legal documentation, insurance, or lender due diligence.

1

The borrower presents the transaction

The borrower provides details of the asset, custodian, location, estimated value, required facility, use of proceeds, and proposed repayment source.

2

The receipt and custodian are verified

The lender communicates with the issuing custodian through independently established contact details. It confirms that the SKR is authentic and that the assets remain in custody.

3

Ownership is established

Purchase records, title documents, deposit instructions, corporate records, and lien searches are used to confirm that the borrower can legally pledge the property.

4

The asset is inspected and valued

An independent specialist may inspect, assay, grade, authenticate, or appraise the asset. The lender generally focuses on realizable liquidation value rather than the owner’s stated value.

5

The facility is structured

The lender determines the advance rate, loan amount, maturity, interest, reporting obligations, margin requirements, and conditions for releasing or substituting collateral.

6

The lender secures control

The borrower signs the applicable security documents. The custodian may also sign an acknowledgment agreeing not to release, move, or transfer the collateral without the lender’s authorization.

7

The loan is funded

Funding occurs after the required legal, collateral, insurance, and compliance conditions have been satisfied. The lender monitors the collateral throughout the facility term.

What Assets Can Support SKR-Backed Financing?

The most financeable assets are identifiable, transferable, properly insured, independently valued, and held by a credible custodian. They must also have a realistic secondary market through which the lender could recover its capital.

Precious metals

Allocated gold, silver, platinum, and palladium may qualify when the bars, purity, ownership, vault location, and insurance can be verified.

Tradable commodities

Agricultural products, refined metals, and other standardized commodities may support warehouse-receipt or borrowing-base finance.

Gemstones

Diamonds and precious stones may qualify subject to recognized laboratory reports, provenance, specialist valuation, controlled custody, and conservative leverage.

Fine art

Authenticated art may support specialist lending when provenance, ownership, condition, appraisal, insurance, and saleability are clear.

Commercial inventory

Finished goods and raw materials may qualify when inventory can be counted, tracked, controlled, and sold through an established market.

Marketable securities

Securities held with an approved intermediary may support a securities-backed facility, subject to liquidity and control over the relevant custody account.

Financely also provides dedicated advisory services for precious-stone asset-based lending and metals trade finance and borrowing-base facilities.

How Much Can Be Borrowed Against an SKR?

The face value written on an SKR does not determine the loan amount. Lenders apply an advance rate to an accepted valuation of the underlying asset. That valuation may be based on market value, orderly liquidation value, or another conservative measure specified by the lender.

The difference between the collateral value and the loan amount protects the lender against price changes, storage costs, deterioration, legal expenses, authenticity disputes, and the time required to liquidate the asset.

Credit factor What the lender considers Effect on financing
Asset liquidity Size, depth, and transparency of the resale market Greater liquidity may support higher leverage
Price volatility Historical movements and exposure to rapid price changes Higher volatility normally reduces the advance rate
Quality and condition Grade, purity, authenticity, age, and physical condition Recognized specifications improve financeability
Custodian quality Reputation, controls, insurance, independence, and licensing Weak custody arrangements may prevent funding
Collateral location Local law, enforcement, taxes, export rules, and accessibility Difficult enforcement normally results in lower leverage
Borrower strength Repayment capacity, experience, compliance, and financial position A strong repayment source can improve the credit structure

The Lender Must Control the Underlying Asset

Possession of an SKR does not necessarily provide an enforceable lien. The lender must establish and perfect its security interest under the laws governing the borrower, custodian, asset, and storage jurisdiction.

The exact mechanism varies. It may involve a pledge agreement, security agreement, assignment of rights, possession of an original negotiable warehouse receipt, registration of a financing statement, or a custody control agreement.

A properly structured facility prevents the borrower from withdrawing, moving, substituting, or selling the collateral without satisfying the agreed conditions. The custodian must understand whose instructions it is permitted to follow.

Documents Commonly Required

A complete financing package will usually include more than the safekeeping receipt. Depending on the asset and jurisdiction, lenders may request:

  • The original SKR or a verifiable electronic record
  • The custody, vaulting, or warehouse agreement
  • Evidence of legal and beneficial ownership
  • Purchase invoices and the complete chain of title
  • Independent inspection, appraisal, assay, or grading reports
  • Insurance certificates covering the stored assets
  • Details of storage fees and any custodian’s lien
  • Disclosure of existing liens, charges, or third-party claims
  • Authorization for direct communication with the custodian
  • Borrower financial statements and corporate documents
  • KYC, AML, sanctions, and source-of-asset documentation
  • A clear use of proceeds and repayment plan

Where the assets relate to a physical trade, the lender may also require purchase contracts, sales contracts, invoices, transport documents, inspection certificates, and evidence of the proposed transaction cycle. These elements can be incorporated into a broader trade finance transaction structure.

An SKR Is Not Automatically a Monetizable Instrument

The term “SKR monetization” is frequently used to suggest that any safekeeping document can be converted into cash. That is incorrect. A legitimate lender finances acceptable collateral through a documented secured transaction.

A SWIFT message does not create collateral value. Bank-to-bank communication may assist with authentication, but it does not prove ownership, establish market value, perfect a lien, or require a bank to lend.

An SKR should not be confused with a standby letter of credit, documentary letter of credit, bank guarantee, or proof of funds. These instruments have different functions, parties, legal frameworks, and credit characteristics.

The lender finances realizable collateral, not terminology. A document issued by an unknown storage company does not become bankable simply because it is called an SKR or carries a substantial stated value.

Why SKR Financing Requests Get Rejected

Unverifiable custodian

The issuer cannot be independently contacted, inspected, or confirmed through reliable channels.

Unclear ownership

The applicant holds a receipt but cannot prove an unencumbered legal interest in the underlying property.

Unsupported valuation

The stated value relies on a seller’s invoice, retail estimate, or appraisal that does not reflect realizable proceeds.

No collateral control

The custodian will not acknowledge the lender’s rights or prevent unauthorized withdrawals.

Weak resale market

The asset is highly specialized, restricted from export, difficult to authenticate, or costly to liquidate.

Compliance problems

The ownership chain, source of assets, counterparties, or transaction structure raises KYC, AML, sanctions, or fraud concerns.

How Financely Supports SKR-Backed Transactions

Financely provides structured debt advisory for companies and asset owners seeking to raise capital against eligible collateral. The mandate may include transaction structuring, collateral analysis, preparation of the financing package, lender identification, lender outreach, term-sheet negotiation, and coordination through due diligence and closing.

Where the collateral supports a commodity or inventory transaction, the financing may be structured as a term loan, borrowing-base facility, warehouse-receipt facility, pre-export facility, or another form of asset-backed trade finance.

Businesses can also consult our list of asset-based lenders to understand the types of institutions active in secured commercial lending.

Financely is not a bank, direct lender, custodian, warehouse operator, or issuer of safekeeping receipts. Capital raising is conducted on a best-efforts advisory basis and remains subject to lender approval, satisfactory due diligence, compliance checks, legal documentation, and fulfillment of all funding conditions.

Frequently Asked Questions

Is an SKR the same as a warehouse receipt?

Not necessarily. A warehouse receipt may have a specific legal status as a document of title under applicable law. SKR is a broader commercial term that may only confirm safekeeping. Its legal effect must be established from the document and governing law.

Can an SKR be used as collateral?

Yes, if the underlying asset is acceptable and the borrower can grant the lender an enforceable security interest. The receipt alone is generally insufficient.

Does the custodian need to cooperate?

Usually. The custodian may need to verify the assets, acknowledge the lender’s rights, restrict withdrawals, and release the property only under agreed instructions.

Will a lender advance 100 percent of the asset value?

Generally not. Lenders use conservative advance rates and valuation methods to protect against volatility, liquidation costs, and enforcement risk.

Can assets held outside the borrower’s country be financed?

Cross-border structures may be possible, but the lender must be comfortable with the custodian, governing law, collateral location, enforcement process, and movement restrictions.

How long does the process take?

Timing depends on the asset, custodian, jurisdiction, documentation, inspection requirements, and lender. Unusual assets and cross-border collateral normally require more extensive due diligence.
